Provider Terms

1. Who these terms apply to
These Provider Terms apply to tutors and tutoring organizations who offer paid services through Matheia (“Providers”, “you”). They supplement the general Terms of Service and the Privacy Policy; by offering paid services on the platform, you accept them. Where these Provider Terms and the general Terms differ, these Provider Terms apply to your activity as a seller.
2. You are the seller
You are the seller of record and the provider of your services. You contract directly with your students, and you set your prices, availability, formats, and your own cancellation and rescheduling terms. You are responsible for delivering your services lawfully, competently, and as described, and for any professional qualifications, insurance, or permits your activity requires. Matheia is an intermediary and is not a party to the contract between you and your student.
3. Payments, commission, and payouts
Payments from students are collected into your connected Stripe account, and Stripe pays them out to you on its schedule. To take paid bookings you must connect and maintain a Stripe account that can accept charges and payouts, and you must comply with Stripe's Connected Account Agreement and terms.
Matheia charges a commission on each payment it facilitates, deducted automatically at the time of charge; the rate that applies to you is shown in your settings, and Premium tutors receive a lower rate. You are responsible for amounts you owe as a result of refunds, chargebacks, or disputes on your sales.
4. Invoicing and tax
You are responsible for issuing any invoices or receipts your students are legally entitled to, and for your own taxes — including income tax and, where applicable, VAT registration and settlement. Matheia can issue invoices to students on your behalf through the connected invoicing provider, using the billing details and VAT rate you configure, but ensuring those settings are correct and meeting your tax obligations remains your responsibility. Handling VAT correctly for cross-border students is your responsibility.
5. Refunds and cancellations
You set your cancellation and refund terms for your offerings, within the framework of the platform's Refund & Cancellation Policy. Some outcomes are handled automatically — for example, when an under-filled cohort is cancelled, paid students are refunded. You agree to honour refunds due to your students under your terms and the law, and you authorise Matheia and Stripe to process refunds and related credit notes on your behalf where required.
6. Your content and conduct
You must describe your offerings accurately and not make misleading claims. You must interact with students appropriately and lawfully, and take particular care with minors, including any safeguarding obligations that apply to you. You retain ownership of the content you provide and grant Matheia the licence needed to host and display it to operate the platform; you confirm you have the rights to any materials you upload or share with students.
7. Data protection
When you use Matheia to manage your own students' personal data — such as your student roster, lesson notes, and materials — you are the data controller for those records and Matheia acts as your processor, handling the data on your instructions. The Data Processing Agreement governs that relationship and forms part of these Provider Terms. You are responsible for having a lawful basis to process your students' data and for responding to their requests, with our assistance.
8. Organizations
For a tutoring organization, the owner is responsible for the organization's account, its billing, and the conduct of its members on the platform. Administrators act on the organization's behalf within the permissions given to them, and teaching members deliver lessons under the organization. The organization's teaching capacity is governed by its seat subscription. The organization is responsible for ensuring its members comply with these terms.
9. Suspension and termination
We may suspend or remove an offering or an account that breaches these terms, harms or endangers students, or creates legal, security, or payment risk, giving notice where reasonable. You may stop offering services and close your account at any time; where you have bookings already made and paid, you remain responsible for delivering them or refunding the students concerned. Obligations that by their nature survive termination continue to apply.
10. Changes
We may update these Provider Terms from time to time. We will notify you of material changes, and continuing to offer services after the changes take effect constitutes acceptance. If you do not accept a change, you may stop offering services and close your account, after settling obligations to students already booked.
